Terms of Use

1. Introduction

These Terms of Use (“Terms”) govern access to and use of the ERP Clearinghouse platform (“Platform”), operated by ERP Clearinghouse Ltd, a company registered in England and Wales (“we”, “us”, “our”, “ERP Clearinghouse”). By registering for an account, browsing the Platform, or otherwise using our services, you agree to be bound by these Terms. If you do not agree, you must not use the Platform.

ERP Clearinghouse is a specialist marketplace connecting independent SAP and ERP contractors (“Contractors”) with organisations seeking to engage such contractors (“Clients”) on an interim contract basis. Contractors and Clients are together referred to as “Users”.

2. The Nature of Our Service

ERP Clearinghouse operates a managed intermediary model. We provide a platform through which Contractors and Clients are matched based on skills, experience, availability and other criteria, and through which introductions are facilitated by our team.

ERP Clearinghouse is not an employment agency and does not employ Contractors.

ERP Clearinghouse is not a party to any contract for services entered into between a Client and a Contractor following an introduction made through the Platform, save where we expressly agree in writing to act as an intermediary party to such arrangements.

Responsibility for determining and complying with the correct employment status of any engagement, including under the UK Off-Payroll Working (IR35) rules, rests with the Client and the Contractor. ERP Clearinghouse provides IR35 status information supplied by Users for matching purposes only and does not provide a status determination, tax advice, or legal advice of any kind.

ERP Clearinghouse does not guarantee that any introduction will result in a placement, nor does it guarantee the accuracy of any information supplied by a User, though we take reasonable steps to verify Contractor profiles before they are made visible on the Platform.

3. Eligibility and Registration

To register as a User you must be at least 18 years old and have the authority to enter into these Terms, whether on your own behalf or on behalf of an organisation you represent. You must provide accurate, current and complete information during registration and keep that information up to date.

All Contractor profiles and Client accounts are subject to review and approval by ERP Clearinghouse before becoming visible on the Platform. We reserve the right to decline, suspend or terminate any registration at our sole discretion, including where we reasonably believe information provided is false, misleading, or where a User has breached these Terms.

4. Contractor Obligations

You warrant that all information in your profile, including qualifications, experience, availability and day rate, is accurate and not misleading.

You are responsible for your own tax affairs, including determining and accounting for your correct employment status on any engagement.

You must keep your availability information current. The Platform’s matching engine uses recency of availability confirmation as a scoring factor, and outdated availability information may reduce your visibility to Clients.

You must not use the Platform to circumvent ERP Clearinghouse’s role as intermediary by contacting a Client identified through the Platform to arrange an engagement outside the Platform, other than as expressly permitted by any separate agreement with us.

5. Client Obligations

You warrant that any role posted on the Platform is genuine and that you have the authority to engage a Contractor on behalf of the organisation you represent.

You are responsible for determining the correct employment status of any engagement entered into with a Contractor identified through the Platform, including compliance with the Off-Payroll Working rules where applicable.

You must not use the Platform to circumvent ERP Clearinghouse’s role as intermediary by engaging a Contractor identified through the Platform outside the Platform, other than as expressly permitted by any separate agreement with us.

6. Fees

ERP Clearinghouse’s commercial model and any applicable fees, including our margin on placements facilitated through the Platform, are set out separately in the commercial terms provided to Clients and, where applicable, Contractors, at the point of engagement. Nothing in these Terms varies those commercial terms.

7. Intellectual Property

All content on the Platform, including but not limited to the ERP Clearinghouse name, logo, design, matching methodology, and underlying software, is owned by or licensed to ERP Clearinghouse and is protected by intellectual property laws. You may not copy, reproduce, or exploit any part of the Platform without our prior written consent, save for information relating to your own profile or postings.

8. Data Protection

Our collection and use of personal data is described in our Privacy Policy, which forms part of these Terms. By using the Platform you acknowledge that you have read and understood our Privacy Policy.

9. Limitation of Liability

To the maximum extent permitted by law, ERP Clearinghouse shall not be liable for any indirect, incidental, special or consequential loss arising from your use of the Platform, including but not limited to loss of profit, loss of business, or loss of opportunity.

ERP Clearinghouse does not warrant the accuracy, completeness or suitability of any Contractor or Client profile, or that any introduction made through the Platform will result in a successful engagement. Users are responsible for conducting their own due diligence before entering into any engagement.

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability which cannot be excluded or limited under applicable law.

10. Suspension and Termination

We may suspend or terminate your account at our discretion, including where we reasonably believe you have breached these Terms, provided false information, or engaged in conduct that undermines the integrity of the Platform. You may deactivate your own account at any time via your dashboard settings, or request deletion of your account by contacting admin@erpclearinghouse.com.

11. Changes to These Terms

We may update these Terms from time to time. Where changes are material we will take reasonable steps to notify Users. Continued use of the Platform after changes take effect constitutes acceptance of the revised Terms.

12. Governing Law

These Terms are governed by the laws of England and Wales, and any dispute arising from them shall be subject to the exclusive jurisdiction of the courts of England and Wales.
